Center Valley office seeks transactional attorney with 1-5 years of experience.
The candidate will be representing corporations, limited liability companies and partnerships of all types.
Will handle small to multi-million dollar transactions for buyers, sellers, investors, lenders and business owners.
Contract review and negotiation in a wide variety of areas such as leases, licenses, distribution agreements, independent contractor agreements and manufacturing agreements.
Financing, loan documentation and work-out documentation.
Seller and buyer due diligence.
Stock purchase and sale agreements.
Redemption agreements.
Asset purchase and sale agreements, Mergers and Acquisitions.
Entity formations, including shareholder agreements, operating agreements and partnership agreements.
Private placement of securities; Joint ventures.
